Welcome to TNW Solutions LLC (“Company,” “we,” “our,” or “us”). By accessing or using our website (https://tnwsolutionsllc.com/), purchasing services, or submitting payment, you agree to be bound by the following Terms of Service.

If you do not agree with these Terms, do not use our services.

1. Services

TNW Solutions LLC provides digital marketing services including, but not limited to:

  • Local SEO (Search Engine Optimization)
  • Google Business Profile optimization
  • Website design and development
  • Paid advertising (Google Ads, Meta Ads, and other platforms)
  • Lead generation services
  • Reputation management

All services are provided on a month-to-month basis with no long-term contract, unless otherwise agreed in writing.

2. Acceptance of Terms

By any of the following actions, you acknowledge and agree to these Terms:

  • Submitting payment via PayPal, Venmo, CashApp, Zelle, or any other method
  • Signing up for services
  • Approving an invoice or proposal
  • Using or continuing to use our services

These actions constitute a legally binding agreement, even without a signed contract.

3. Payment Terms

  • Services are billed in advance on a recurring monthly basis.
  • Payment is due on the agreed billing date.
  • Late or failed payments may result in immediate suspension or termination of services without notice.
  • We reserve the right to charge late fees and/or send unpaid balances to collections.

4. No Refund Policy

All payments made to TNW Solutions LLC are final and non-refundable.

Due to the nature of digital marketing services—including time, labor, strategy, and campaign execution—no refunds will be issued under any circumstances, including partial months, unused services, or dissatisfaction with results.

5. Advertising, Lead Generation & No Guarantee of Results

  • No guarantees are made regarding rankings, traffic, leads, conversions, or revenue.
  • TNW Solutions LLC does not guarantee lead quality, lead volume, or sales outcomes.
  • Leads generated may vary in quality, intent, and conversion potential.
  • Advertising performance is influenced by factors outside our control, including competition, budgets, algorithm changes, and market conditions.

All services are provided “as is” without warranties of any kind, express or implied.

6. Ad Spend & Third-Party Platforms

  • Advertising budgets are separate from service fees unless otherwise stated.
  • Ad spend is non-refundable and subject to third-party platform policies.
  • We are not responsible for account suspensions, ad disapprovals, policy changes, or performance fluctuations caused by platforms such as Google or Meta.

7. Client Responsibilities

Client agrees to:

  • Provide accurate and complete information
  • Grant timely access to necessary accounts (website, Google Business Profile, ad platforms, etc.)
  • Respond to communication and approvals in a timely manner

Failure to do so may impact results and does not warrant refunds.

8. Cancellation

  • Services may be canceled at any time.
  • Cancellation must be submitted before the next billing date.
  • Once a billing cycle has started, that month is non-refundable and considered earned.

9. Chargebacks & Payment Disputes

  • Client agrees to contact TNW Solutions LLC to resolve any billing concerns prior to initiating a chargeback or dispute.
  • Initiating a chargeback without prior communication may be considered a breach of these Terms.
  • We reserve the right to submit evidence of services rendered and pursue collections or legal action for recovered funds, fees, and damages.

10. Intellectual Property

  • All strategies, campaigns, materials, and deliverables remain the property of TNW Solutions LLC until paid in full.
  • Upon full payment, client is granted a non-exclusive right to use deliverables for business purposes.
  • We reserve the right to display non-confidential work in our portfolio and marketing materials.

11. Independent Contractor

TNW Solutions LLC is an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

12. Limitation of Liability

To the fullest extent permitted by law:

  • TNW Solutions LLC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business opportunities.
  • Total liability shall not exceed the amount paid by the client in the 30 days preceding the claim.

13. Indemnification

Client agrees to indemnify and hold harmless TNW Solutions LLC from any claims, damages, losses, or expenses arising from:

  • Use of our services
  • Violation of these Terms
  • Violations of third-party platform policies

14. Dispute Resolution & Arbitration

  • Any dispute arising out of or relating to these Terms or services shall first be attempted to be resolved informally.
  • If unresolved, disputes shall be resolved through binding arbitration, not in court.
  • Arbitration shall be conducted in the State of Oregon, in or near Washington County.
  • Each party shall bear its own legal fees unless otherwise awarded.
  • You waive the right to participate in class actions or jury trials.

15. Governing Law & Venue

These Terms shall be governed by the laws of the State of Oregon.

Any legal matters not subject to arbitration shall be handled exclusively in the courts located in Washington County, Oregon.

16. Modifications

We reserve the right to update or modify these Terms at any time. Updates will be posted with a revised Effective Date.
